Spark Paws Dog Model Program — Terms and Conditions

1. Overview

These Terms and Conditions ("Terms") govern your participation in the Spark Paws Dog Model Program (the "Program"), operated by I Con Pets LLC d/b/a Spark Paws (the "Company," "we," "us," or "our"). By submitting an application and/or participating in the Program, you ("Model," "you," or "your") agree to be bound by these Terms.

The Program is a community of dog parents selected by Spark Paws to create and share content featuring their dogs wearing or using Spark Paws products. In exchange, Models receive product, commissions, and other benefits as described below.

2. Eligibility and Acceptance

To participate in the Program, you must:

  1. Be at least 18 years of age;
  2. Be a legal resident of the United States, Canada, United Kingdom, Germany, Australia, New Zealand, or another country where the Program is available;
  3. Have an active Instagram and/or TikTok account;
  4. Own at least one dog; and
  5. Provide accurate and complete information in your application.

Acceptance into the Program is at the sole discretion of Spark Paws. We may accept, reject, or waitlist any application for any reason. Submission of an application does not guarantee acceptance.

3. Commissions and Payment

Upon acceptance, you will receive a unique affiliate link ("Model Link"). You will earn a commission on qualifying purchases made through your Model Link, calculated as a percentage of Gross Revenue.

"Gross Revenue" means the amount actually paid by a customer for Spark Paws products, excluding shipping charges, taxes, and similar fees levied at the time of purchase.

Commissions are tracked via our affiliate platform and paid monthly. Payments are made via PayPal or another method designated by Spark Paws. A minimum balance of $25.00 USD (or local currency equivalent) must be accrued before payment is issued. Commissions on returned or refunded orders will be deducted from your balance.

Commission rates and program benefits may vary by tier and are subject to change with 30 days' written notice.

4. Content Requirements

As a Model, you agree to create and publish content featuring your dog wearing or using Spark Paws products on your social media channels. All content must:

  1. Feature your dog(s) in a positive, authentic manner;
  2. Clearly show the Spark Paws product being used or worn;
  3. Include your dog's breed, weight, and the size of the product worn whenever reasonably possible;
  4. Tag @sparkpaws and include any required hashtags or discount codes provided by Spark Paws;
  5. Comply with all applicable laws, regulations, and platform policies; and
  6. Not contain any content that is defamatory, obscene, discriminatory, misleading, or otherwise objectionable.

5. Disclosure and Compliance

You are required to comply with all applicable advertising disclosure laws and guidelines, including the U.S. Federal Trade Commission (FTC) Endorsement Guides and equivalent regulations in your jurisdiction.

All sponsored content must clearly and conspicuously disclose your relationship with Spark Paws. Acceptable disclosures include (but are not limited to) the use of #ad, #sponsored, or the platform's built-in paid partnership tools. The disclosure must be visible without requiring the viewer to expand or click through.

You are solely responsible for ensuring compliance with all applicable disclosure requirements. Spark Paws is not liable for your failure to make required disclosures.

6. Content License and Intellectual Property

By submitting content as part of the Program, you grant Spark Paws a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, display, distribute, and create derivative works from your content across any media or platform, including but not limited to social media, the Spark Paws website, email marketing, and paid advertising.

This license survives termination of your participation in the Program. Content published prior to termination may continue to be used by Spark Paws.

You represent and warrant that you own or have the necessary rights to all content you submit, and that such content does not infringe the intellectual property, privacy, or other rights of any third party.

All Spark Paws trademarks, logos, product names, and brand materials remain the exclusive property of I Con Pets LLC. You may not modify, alter, or use Spark Paws intellectual property except as expressly authorized in writing.

7. Product Seeding and Samples

Spark Paws may, at its discretion, provide you with complimentary products ("Samples") for use in creating content. Samples are provided for content creation purposes only and are not compensation.

You agree to use Samples in accordance with the content requirements outlined in Section 4. Products that are not featured in published content within 30 days of receipt may be deducted from future product seeding eligibility.

Samples remain the property of Spark Paws until featured in published content, at which point ownership transfers to you. Spark Paws reserves the right to request the return of unused Samples.

8. Code of Conduct

As a representative of the Spark Paws brand, you agree to:

  1. Conduct yourself professionally and respectfully in all public and private communications related to the Program;
  2. Not make false, misleading, or unsubstantiated claims about Spark Paws products;
  3. Not engage in any activity that could harm the reputation of Spark Paws, including the promotion of animal cruelty, violence, or illegal activity;
  4. Not promote or endorse competing pet apparel brands during your participation in the Program without prior written consent; and
  5. Respond to communications from Spark Paws within a reasonable timeframe.

9. Confidentiality

You may receive confidential information in connection with the Program, including but not limited to unreleased product information, commission structures, internal strategies, marketing plans, and communications shared via private channels (e.g., email, messaging platforms, or creator dashboards).

You agree not to disclose any confidential information to third parties without the prior written consent of Spark Paws. This obligation survives termination of your participation in the Program.

10. Termination

Either party may terminate participation in the Program at any time, for any reason, with or without cause, by providing written notice to the other party via email.

Upon termination:

  1. Any accrued and unpaid commissions meeting the minimum payout threshold will be paid within 30 days;
  2. Your Model Link and discount code will be deactivated;
  3. You must cease representing yourself as a Spark Paws Dog Model;
  4. The content license granted in Section 6 will survive termination.

Spark Paws reserves the right to immediately terminate your participation without notice in cases of material breach, including but not limited to fraudulent activity, brand-damaging conduct, or violation of these Terms.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Spark Paws and I Con Pets LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your participation in the Program, including but not limited to lost profits, lost data, or business interruption.

Spark Paws' total liability under these Terms shall not exceed the total commissions paid to you in the twelve (12) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Spark Paws, I Con Pets LLC, and their officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  1. Your content or activities as a Model;
  2. Your breach of these Terms;
  3. Your violation of any applicable law, regulation, or third-party right.

13. Modifications to Terms

Spark Paws reserves the right to modify these Terms at any time. Material changes will be communicated via email or through Program channels with at least 30 days' notice. Your continued participation in the Program after the effective date of any changes constitutes acceptance of the modified Terms.

14. Independent Contractor

You are an independent contractor and not an employee, agent, or partner of Spark Paws or I Con Pets LLC. Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship. You are solely responsible for all taxes, insurance, and other obligations arising from your participation in the Program.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of [INSERT STATE], without regard to its conflict of laws provisions. Any disputes arising under or in connection with these Terms shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules, conducted in [INSERT CITY, STATE].

16. Entire Agreement

These Terms constitute the entire agreement between you and Spark Paws regarding your participation in the Program and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
